Assisting overseas investment  

We advised a German investment fund on a proposed £150 million UK property acquisition through a partnership structure. This included discussions with HM Revenue & Customs (HMRC) to agree a practical approach to dealing with UK tax returns for some 2,000 German partners.

Acting as an advocate to HMRC  

HMRC challenged a taxpayer’s categorisation of properties between investment and stock, seeking to reclassify a number which would give rise to substantial UK tax costs. After correspondence and meetings with HMRC we were able to settle matters with no tax liability arising.

Restructuring for tax efficiency  

We worked with a mixed developer and investor to restructure their property portfolios tax efficiently, including the introduction of a Limited Liability Partnership and offshore companies.

Fundraising for an international group  

We acted as reporting accountants to the flotation on the London Stock Exchange of an international group involved in residential developments in Asia. We worked with nomads, brokers, financial and legal advisers in the UK, Jersey, and Asia to achieve a successful float. We advised on the tax implications of investing in real estate and advised on the corporate structure, including the impact of changing tax regulations. The company had market capitalisation of US $162 million on admission to the Main Market of the London Stock Exchange, and going forward we also acted as international auditors of the group and Asian subsidiaries.
